Entire Agreement Clause

A clause stating that the written contract is the complete, final agreement between the parties, superseding all prior discussions and representations.

Legal Definition

An entire agreement clause (also called an integration clause, merger clause, or complete agreement clause) states that the written contract constitutes the entire agreement between the parties on the subject matter — and that all prior negotiations, representations, oral promises, emails, and preliminary agreements are superseded by and merged into the final written document. It prevents either party from later claiming that verbal commitments or representations made during negotiations are enforceable obligations, even if those representations influenced the decision to sign.

An entire agreement clause means the written contract is the only thing that counts. Whatever a salesperson promised you verbally, whatever was discussed in emails before signing, whatever was represented in negotiations — none of it is enforceable unless it made it into the final written agreement. This clause is why 'get it in writing' is such important advice. If a landlord promises verbally that pets are allowed, or an employer promises a bonus verbally, or a software vendor promises features not in the contract — and the agreement has an entire agreement clause — those promises are legally meaningless. The only commitments that matter are the ones written into and signed as part of the final document.

Real-World Example

During salary negotiations, a hiring manager tells Michael that he'll receive a $10,000 annual bonus. Michael accepts the job offer. The employment contract he signs contains an entire agreement clause and makes no mention of a bonus. When year-end arrives and Michael's bonus isn't paid, he's told the verbal promise isn't binding. Because of the entire agreement clause, the written contract supersedes the oral representation. Michael's only recourse would be to prove fraud — a much harder legal standard. This is exactly why verbal employment promises must be confirmed in writing before signing.
